What was the announcement made by Liberty Latin America and América Móvil?

Liberty Latin America, a leading communications company, which operates in Chile under the consumer brand VTR, and América Móvil, the parent company of Claro Chile, announced that they had received approval from Chile's National Economic Prosecutor's Office (FNE) and completed the transaction to combine their respective operations in Chile to form a 50:50 joint venture (JV). How will the new company be formed?

The new company will be formed in equal parts by VTR and Claro Chile and will have a board of eight people, four appointed by each parent company, who will govern the organization. Both companies will have equal rights in corporate governance, and neither will have control over the other.

Are VTR and Claro Chile now a new company?

With the FNE’s approval and the completion of the transaction, the two companies will begin an integration process to form ClaroVTR.

Does this announcement have any repercussions for customers?

No. Both companies will continue to maintain their customer relationships separately as they have done until now in the Chilean market. Should any changes be made in the future, customers will be informed in advance.

With this announcement, will clients who have contracted mobile services with VTR become clients of Claro Chile?

No. For now, they will continue to be clients of the company with which they have contracted their services until the new joint venture announces the integration of services.

¿Cómo estará conformada la nueva compañía?

La nueva empresa está compuesta en partes iguales por VTR y Claro Chile y tendrá un directorio de 8 personas, cuatro nombradas por cada matriz, quien gobernar la organización. Ambas compañías contarán con los mismos derechos en el gobierno corporativo, de manera que ninguna tendrá el control sobre la otra.

¿VTR y Claro Chile son ahora una nueva empresa?

Con la aprobación de la FNE y la realización de la transacción, las dos empresas iniciarán un proceso de integración para formar ClaroVTR.

¿Tiene este anuncio alguna repercusión para los clientes?

No. Ambas empresas seguirán manteniendo sus relaciones con los clientes por separado, como han hecho hasta ahora en el mercado chileno. En caso de que se produzcan cambios en el futuro, los clientes serán informados con antelación.

No. Por ahora continuarán siendo clientes de la compañía con la que han contratado sus servicios hasta que la nueva empresa conjunta anuncie la integración de servicios.
